Porch Group, Inc. has entered into a definitive agreement to acquire the insurance operations of Allied Trust Holdings, LLC. The transaction, valued at a total of $200 million, is structured as a stock and membership interest purchase agreement signed on October 13, 2026.

The acquisition involves two distinct entities. Porch Insurance Reciprocal Exchange will acquire 100% of the common stock of Allied Trust Insurance Company (ATIC), a property and casualty carrier domiciled in Texas. Separately, Porch’s wholly owned subsidiary, Homeowners of America Holding Corporation, will acquire 100% of the membership interests of Allied Underwriters LLC (the managing general agent) and Lonestar Lagniappe Reinsurance Holdings (the captive reinsurer).

Under the terms of the agreement, the total consideration is $200 million. Porch Insurance Reciprocal Exchange will pay $105 million for ATIC, consisting of $55 million at closing and $50 million in deferred payments over the following 12 months. Homeowners of America Holding Corporation will pay $95 million at closing for the MGA and reinsurer interests.

Consideration for the transaction may include Porch’s common stock. Homeowners of America Holding Corporation may elect to satisfy up to $20 million of the closing payment in newly issued shares, while Porch Insurance Reciprocal Exchange may elect to satisfy up to $50 million of the deferred payments in existing shares it holds. The number of shares issued will be determined based on the Nasdaq closing price on the business day preceding the applicable payment date.

The acquisition is subject to customary closing conditions, including approval from the Texas Department of Insurance. Porch Group expects the transaction to close in the first quarter of 2027, with a specific target date of no earlier than January 1, 2027.

Porch Group stated that the deal is expected to add approximately $200 million in Reciprocal Written Premium and $25 million of Adjusted EBITDA (Excluding Reciprocal) in the first full year following closing. The acquisition would expand Porch’s insurance services footprint into Louisiana, where Allied Trust generated nearly half of its 2025 premiums.
