Pool Corporation announced the appointment of Jean-Marc Germain to its Board of Directors, effective September 30, 2026. The appointment was made upon the recommendation of the Company’s Nominating and Corporate Governance Committee.
Mr. Germain will serve as a director until the 2027 annual meeting of shareholders, at which point he will stand for election by the Company’s shareholders. Following his appointment, the size of the Board of Directors was increased from eight to nine members.
The Company stated that Mr. Germain qualifies as an independent director in accordance with Nasdaq listing requirements. He has been appointed to the Board’s Strategic Planning Committee. Mr. Germain will be compensated consistent with the standard compensation program for non-employee directors, which is detailed in the Company’s definitive proxy statement filed with the SEC on March 26, 2026.
According to the filing, Mr. Germain is the former Chief Executive Officer of Constellium SE, a global leader in aluminum products and solutions, where he served from 2016 to 2025. He currently serves as Special Advisor to Constellium’s board of directors. Prior to his tenure at Constellium, Mr. Germain served as President and CEO of Algeco Scotsman Global from 2012 to 2016. He has also held leadership roles at Novelis, Inc., Alcan, Inc., Pechiney, GE Capital, and Bain & Co. Since 2021, Mr. Germain has served as an independent director of GrafTech International Ltd, a NYSE-listed manufacturer of graphite electrode products.
