Pluri Inc. has entered into a definitive agreement with ZEO ScientifiX, Inc. to license its regenerative medicine product portfolio for the United States. Under the terms of the agreement, ZEO will acquire a 41% equity stake in Pluri immediately following the closing of the transaction. Additionally, Pluri will receive warrants to purchase up to 7.5% of ZEO's issued share capital at specific exercise prices, as well as an additional 5% of ZEO's shares if the company's common stock reaches a volume-weighted average price of $5.50 per share over a ten-day period.
The partnership grants Pluri the right to designate four of seven board members at ZEO, contingent upon Pluri maintaining at least 25% ownership and avoiding a change of control. The agreement includes detailed protective provisions for the Series D Preferred Stock issued to Pluri, including rights to approve major corporate actions and a majority vote requirement for board removals.

The total subscription amount is $1,000,000, with an option for investors to pay in Israeli Shekels at an exchange rate of 3.0780 NIS per USD.
