PetMed Express, Inc. has announced the appointment of Jeffrey Allen Willard as the company's new Chief Executive Officer and President, effective September 28, 2026. The Board of Directors approved the appointment on August 27, 2026. Mr. Willard succeeds Leslie C.G. Campbell, who has served as Interim CEO since August 2025 and is retiring from her role as Chair of the Board on the same date.

Mr. Willard, age 56, brings extensive experience in the consumer and e-commerce sectors. His most recent role was Chief Executive Officer of Stewart-MacDonald, a privately held global e-commerce company, from November 2024 to September 2026. Previous roles include serving as Chief Growth and Marketing Officer of Casper Sleep and President of Healthy Lifestyle Brands, LLC.

In connection with his appointment, Mr. Willard has entered into an Executive Employment Agreement. The initial term of the agreement is three years, with automatic one-year renewals unless terminated with proper notice. Under the agreement, Mr. Willard will receive an initial annual base salary of $550,000 and a signing bonus of $120,000, subject to repayment if he leaves within one year. He is also eligible for an annual performance bonus with a target of 75% of his base salary and a maximum of 150%.

Mr. Willard will receive equity grants as an inducement to join the company. On his start date, he will be awarded 250,000 shares of restricted stock, vesting in one-third increments over three years. He will also receive up to 250,000 performance stock units (PSUs) that vest based on the company's three-year total shareholder return relative to the S&P 600 Specialty Retail Index. Additionally, he is eligible for an annual long-term incentive award with a target value of $750,000.

Regarding the Board of Directors, Leslie C.G. Campbell is retiring as Chair. She will remain with the company as a full-time Strategic Advisor for 60 days following Mr. Willard's arrival. Justin Mennen, the current Lead Independent Director, has been appointed as the new Chair of the Board, effective September 28, 2026. Peter Batushansky will succeed Mr. Mennen as Chair of the Corporate Governance and Nominating Committee.
