PBF Holding Company LLC, a subsidiary of PBF Energy Company LLC and PBF Energy Inc., entered into an amended and restated asset-based revolving credit agreement on September 30, 2026. The new facility, referred to as the 2026 Revolving Loan, replaces the Senior Secured Revolving Credit Agreement dated August 23, 2023.

The 2026 Revolving Loan features a maximum commitment of $4.0 billion and is set to mature on September 30, 2031. The agreement includes reduced commitment fees on the unused portion of the credit line compared to the previous agreement. Interest rates on advances and fees for letters of credit remain generally consistent with the terms of the Existing Credit Agreement.

Bank of America, National Association, serves as the administrative agent for the bank syndicate participating in the facility. The 2026 Revolving Loan contains standard representations, warranties, covenants, events of default, and indemnification obligations consistent with those found in the previous agreement.
