On September 22, 2026, Parke Bancorp, Inc. filed a Current Report on Form 8-K announcing two key corporate actions: the amendment of its bylaws and the appointment of a new director.

The Board of Directors approved amendments to the Registrant’s Bylaws, specifically removing Article III, Section 3 and Section 16. These sections previously established eligibility requirements for board members. Section 3 had included a residency restriction, requiring directors to reside no more than 50 miles from the office of Parke Bank. Section 16 had required a minimum share ownership of 25,000 shares of common stock for directors. The amended and restated bylaws are filed as Exhibit 3.1 to the report.

Separately, the Board appointed Michael L. Regina to serve on its Board of Directors. Mr. Regina will serve until the next annual meeting of stockholders. He is the founder and co-owner of Big Sky Enterprises, a project management and general contracting firm based in South Jersey, and co-founder of Global Post Auditing Solutions, a company based in Charleston, South Carolina, that specializes in auditing and financial technology logistics. Mr. Regina was not appointed pursuant to any arrangement or understanding with any party, and there are no transactions between the Registrant and Mr. Regina of the type required to be disclosed by Item 404(a) of Regulation S-K.
