The company filed a Certificate of Amendment to its Certificate of Incorporation with the Secretary of State of Delaware to effect this change. According to the filing, the amendment was filed under the General Corporation Law of the State of Delaware and did not require stockholder approval.
The name change does not alter the rights of the company's stockholders or the terms of the common stock. The company's trading symbol on NYSE American remains “PAAI,” and the CUSIP number for the common stock is unchanged. Stockholders holding shares in book-entry form or through a bank, broker, or other nominee are not required to take any action. Existing stock certificates reflecting the prior corporate name will remain valid.
