Outdoor Holding Company has completed a conversion from a Delaware corporation to a Texas corporation, as disclosed in a Form 8-K filed with the Securities and Exchange Commission. The conversion, known as the Texas Redomestication, was approved by the company's stockholders at the 2026 Annual Meeting of Stockholders held on September 28, 2026.

The redomestication became effective on September 30, 2026, at 10:59 p.m. Central Time. At the effective time, the company continued in existence as a Texas corporation, and its internal affairs and existing certificate of incorporation and bylaws were governed by Texas law. The company filed a certificate of conversion with the Secretary of State of Delaware and a certificate of formation with the Secretary of State of Texas to finalize the change.

The conversion did not result in a change to the company's headquarters, business, jobs, management, properties, or number of employees. However, the company is in the process of moving its headquarters from Atlanta, Georgia, to Dallas, Texas. The company's common stock and preferred stock continued to trade on the Nasdaq Capital Market under the symbols POWW and POWWP, respectively, with no interruption in trading.

Regarding the vote, stockholders of record as of the close of business on August 17, 2026, were entitled to vote. Of the 116,060,931 shares of common stock outstanding, 100,008,661 shares were represented at the meeting. The proposal to approve the Texas Redomestication received 74,116,057 votes in favor, 10,985,633 votes against, and 268,587 abstentions.

In connection with the redomestication, the Board of Directors appointed Steven F. Urvan, the company's Chairman and Chief Executive Officer, to the role of President, effective as of the Effective Time. Mr. Urvan will continue to serve as Chairman and Chief Executive Officer. The company's equity compensation plans were converted to obligations of the Texas Corporation, with outstanding options and restricted stock units converted into awards for an equal number of shares of the Texas Corporation Common Stock on the same terms and conditions.
