Orion Group Holdings, Inc. has executed a new employment agreement with Alison G. Vasquez, effective October 12, 2026. Ms. Vasquez will continue to serve as Executive Vice President and Chief Financial Officer of the company. This agreement replaces a previous offer letter filed on June 10, 2025.
Under the terms of the agreement, Ms. Vasquez has an initial term ending on December 31, 2026. The agreement includes automatic renewal for successive one-year periods on January 1 of each year unless terminated earlier. Her annual base salary is set at $480,000, subject to review and adjustment. She is also eligible for a target annual bonus of 75% of her base salary and participation in the company’s long-term incentive compensation programs.
The agreement outlines severance benefits if Ms. Vasquez is terminated by the company without cause or if she resigns for good reason. In such a scenario, she would receive salary continuation for one year, payment of accrued obligations, earned but unpaid bonuses, transitional expenses, and a continued vehicle allowance for one year.
If a Change in Control occurs and Ms. Vasquez is terminated without cause or for good reason within 12 months following the event, the severance benefits are significantly increased. She would receive salary continuation for three years, payment of accrued obligations, earned but unpaid bonuses, transitional expenses, and a continued vehicle allowance for three years. Additionally, she would receive a lump sum payment equal to three times the annual bonus earned for the most recently completed fiscal year before termination and accelerated vesting of all outstanding equity awards, with performance awards deemed achieved at the maximum level.
The document also includes standard confidentiality, non-competition, and non-solicitation covenants. The full text of the agreement is attached as Exhibit 10.1 to the filing.
