Onfolio Holdings Inc. has received notification from Nasdaq regarding a failure to meet the exchange's minimum stockholders' equity requirement. The notice, originally received on May 26, 2026, stated that the Company did not meet the $2.5 million minimum stockholders' equity requirement under Nasdaq Listing Rule 5550(b)(1). At that time, Onfolio also failed to satisfy the alternative standards under Rule 5550(b), which relate to the market value of listed securities or net income from continuing operations.

In a letter dated October 5, 2026, Nasdaq granted the Company an extension to regain compliance. Under the terms of this extension, Onfolio must demonstrate compliance with Listing Rule 5550(b) by November 23, 2026. The Company is required to file a Report on Form 8-K with the Securities and Exchange Commission and Nasdaq to evidence this compliance.

Nasdaq will continue to monitor the Company's ongoing compliance. The exchange specified that the Company may face delisting if it fails to evidence compliance when filing its periodic report for the year ending December 31, 2026. If the Company does not satisfy the extension terms, Nasdaq Staff will issue a written delisting notification, which the Company may appeal to a Nasdaq Hearings Panel.

The extension does not have an immediate effect on the listing or trading of the Company's common stock or warrants on the Nasdaq Capital Market. The Company's business, operations, or reporting requirements with the SEC remain unchanged. Onfolio Holdings Inc. acquires and operates online businesses in sectors including marketing, education, and e-commerce.
