On October 12, 2026, Onfolio Holdings, Inc. entered into a Limited Forbearance Agreement with Eastern Standard, LLC to address missed payments on a promissory note related to the acquisition of the Eastern Standard business. The original note, issued by Eastern Standard, LLC (Maker) to Eastern Standard, LLC (Payee), has a principal value of $850,000 and is secured by the Maker’s assets and guaranteed by Onfolio.
Under the terms of the agreement, the Maker is required to make an initial payment of $450,000 on or before October 31, 2026. Following this payment, the Maker must make monthly payments of $60,000 beginning December 1, 2026. The final scheduled payment is set at $45,754.29 on July 1, 2027, bringing the total scheduled payments to $915,754.29. This total includes the original principal, interest, a $20,000 late charge, and other amounts owed.
The Payee has agreed to forbear from exercising its rights and remedies under the Note, provided the Initial Payment is received and all subsequent monthly payments are made on time. The agreement includes a ten-day cure period for late payments. If the Initial Payment is not made by October 31, 2026, or if a monthly payment is not made within the cure period, the Payee may exercise its remedies. The forbearance does not extend the maturity date of the Note, and default interest continues to accrue. Upon full compliance with the payment schedule, the Note will be deemed paid in full, releasing the security interests and the Company’s guaranty.
