ONE Nuclear Energy Inc. has announced the closing of its business combination with Hennessy Capital Investment Corp. VII (HVII). The transaction, approved by Hennessy VII shareholders at an extraordinary general meeting held on August 24, 2026, has resulted in the combined entity being renamed ONE Nuclear Energy Inc. and HVII being renamed New ONE Nuclear.

As part of the merger, HVII completed its domestication as a Delaware corporation, and ONE Nuclear became a direct, wholly-owned subsidiary of the renamed entity. The combined company is expected to begin trading on the Nasdaq Global Market under the ticker symbol "ONEN" on or about September 24, 2026.

The new company positions itself to advance a platform focused on nuclear and large-scale energy infrastructure. ONE Nuclear’s Louisiana Portfolio, which is in active development, consists of three energy projects totaling approximately 5 gigawatts (GW). These projects include:

In connection with the closing, holders of 13,809,029 Class A ordinary shares from HVII’s initial public offering exercised their right to redeem their shares. On September 23, 2026, prior to the domestication, HVII redeemed these shares for approximately $10.61 per share, resulting in aggregate redemption payments of approximately $146.5 million. Following these redemptions and prepayments under a forward purchase agreement, approximately $2.2 million remained in HVII’s trust account.
