Ondas Inc. (Nasdaq: ONDS) announced on September 23, 2026, the acquisition of three defense technology businesses to expand its integrated autonomous defense systems platform. The companies acquired are Insignito Solutions Ltd., Ottopia Technologies Ltd., and Caribou Labs Ltd., all registered in the State of Israel.
The acquisitions are designed to strengthen Ondas' existing and future autonomous platforms, accelerate the development of integrated solutions, and create new revenue opportunities. The press release detailing the deal highlights the specific capabilities each company brings to Ondas' portfolio:
- Insignito Solutions: Provides AI-enabled acoustic intelligence for counter-unmanned aerial systems (C-UAS). Its technology includes the DUMBO system, which detects drones via acoustic signatures, as well as software-based mission planning and drone interception tools.
- Ottopia Defense: Offers mission-critical communications and remote control for unmanned systems. Its platform features AI-enabled autonomy, ultra-low-latency teleoperation, and a one-to-many architecture that allows a smaller number of operators to manage multiple assets.
- Caribou Labs: Specializes in resilient communications and deterministic identification for GPS-denied environments. The company's technology is currently deployed in active conflict zones.
The aggregate consideration for the acquisitions is $56 million, payable in cash or Ondas common stock. Based on the company's forecasts, the purchase price represents less than three times the businesses' expected 2027 revenue. The transactions also include potential earnout consideration of up to $32 million in the aggregate, payable in cash or Ondas common stock upon the achievement of key performance milestones through 2028.
In connection with the acquisitions, Ondas approved inducement grants of restricted stock units (RSUs) representing 2,979,063 shares of common stock and stock options exercisable for 80,000 shares to 37 newly hired employees. The RSUs vest over varying schedules, with some vesting immediately upon closing and others vesting over two years.
