Both acquisitions were consummated substantially concurrently with the execution of the respective purchase agreements. The transactions were financed using proceeds from the company’s continuous private offering. Each agreement includes customary representations and warranties, with provisions for indemnification regarding breaches of those terms.
The filing indicates that the required financial statements and pro forma financial information for the acquired properties will be filed in a subsequent amendment to this report, Form 8-K/A, no later than seventy-one days after the date of this report.
