Non-Invasive Monitoring Systems, Inc. (NIMS) has amended its previously announced merger agreement with Gravitics, Inc. The amendment, dated October 19, 2026, modifies the definition of the term "Public Offering" within the Agreement and Plan of Merger and Reorganization.

Under the original terms, the merger was contingent upon the completion of a public offering. The fourth amendment to the agreement raises the expected gross proceeds of this offering to $50 million. However, the agreement establishes a minimum threshold, ensuring the offering size will not fall below $40 million. This amount excludes the underwriter’s over-allotment option.

The amendment was entered into by NIMS, its wholly owned subsidiary Gravitics Merger Sub, Inc., and Gravitics. All other terms of the original Merger Agreement remain unchanged. This is the fourth amendment to the agreement, following previous modifications on June 30, 2026, August 5, 2026, and September 30, 2026.
