Nomadar Corp. has entered into a definitive Equity Purchase Agreement (EPA) to acquire a majority interest in Fox Soccer Academy (FSA). The transaction, signed on September 13, 2026, involves the acquisition of 100% of the equity interests in four entities: Fox Soccer Academy LLC (New York), Fox Sports Academy of the Carolinas LLC (North Carolina), Fox Soccer Academy LTD (United Kingdom), and Fox Soccer Academy Austria. The deal was executed by Nomadar Corp., its wholly-owned subsidiary Fox Soccer Holding Company LLC, and a group of Sellers including Raluca Gold-Fuchs, Christian Fuchs, Chad Metzler, Anthony James Cozzone Jr., Martin Conway, and Eugene Luther Ray.

The purchase price for the Fox Companies consists of several components. At closing, Nomadar will issue Purchaser Interests representing 49% of the equity of Fox Soccer Holding Company LLC, valued at approximately $4.4 million. Additionally, Nomadar will pay a base cash amount of $2 million and issue Nomadar Shares valued at $500,000. A holdback of $600,000 will be paid on the second anniversary of the closing. Two deferred payments totaling $2.6 million will be made following the completion of the 2026-2027 and 2027-2028 soccer seasons. Finally, a contingent earnout payment of up to $1.5 million is available if the cumulative net income of the Fox Companies exceeds approximately $10.9 million over four seasons.

Following the transaction, the Fox Companies will become wholly-owned subsidiaries of Nomadar. The Sellers will retain a 49% interest in Fox Soccer Holding Company LLC, with the remaining 51% held by Nomadar. The Sellers are subject to non-competition and non-solicitation covenants for five years following the closing. Nomadar also has the option to acquire the Sellers' 49% interest for $4.4 million within 90 days after the earnout payment is determined. The acquisition is expected to close in the coming weeks, subject to customary closing conditions.
