Nissan Auto Receivables Company II LLC (NARC II) and Nissan Motor Acceptance Company LLC (NMAC) have entered into an underwriting agreement with Mizuho Securities USA LLC to issue notes through Nissan Auto Receivables 2026-B Owner Trust. The filing, dated September 22, 2026, details the terms for a series of notes to be issued on or about September 30, 2026.

The offering consists of multiple classes of notes, including Class A-1, Class A-2a, Class A-2b, Class A-3, Class A-4, Class B, and Class C. The aggregate principal balance of the Notes is $1,285,670,000. The Issuing Entity is a Delaware statutory trust established by a Trust Agreement dated August 31, 2026, with Wilmington Trust, National Association serving as the owner trustee.

The transaction is structured to transfer retail installment sales contracts related to new, near-new, and used automobiles and light-duty trucks to the Issuing Entity. On the closing date, NMAC will sell these receivables to NARC II, and the Issuing Entity will enter into a Sale and Servicing Agreement with NARC II as seller and NMAC as servicer. U.S. Bank Trust Company, National Association is designated as the indenture trustee and certificate registrar.

Additional agreements to be executed on the closing date include an Administration Agreement between the Issuing Entity, NMAC, and the indenture trustee, and an Asset Representations Review Agreement with Clayton Fixed Income Services LLC. The notes are registered pursuant to the Securities Act of 1933 under a Registration Statement on Form SF-3 (Commission File No. 333-279448).
