Nightfood Holdings, Inc. announced that a 1-for-150 reverse stock split became effective at 12:01 a.m. Eastern Time on October 20, 2026. The split was authorized by the company’s board of directors and approved by the holder of the Series A Super Voting Preferred Stock, which holds a majority of the voting power.

Under the terms of the reverse split, every 150 shares of issued and outstanding common stock were automatically combined into one share of common stock. The transaction reduced the total number of issued and outstanding shares from approximately 543,899,213 to approximately 3,625,995. The par value of the common stock remains $0.001 per share.

Proportional adjustments were made to outstanding warrants, convertible preferred stock, and other convertible securities. No fractional shares were issued; holders who would have otherwise received a fractional share were rounded up to the next whole number. The number of authorized shares remained unchanged.

The reverse split is intended to increase the per-share trading price of the common stock and support the company’s application to list its shares on the Nasdaq Capital Market. The company has submitted an application to Nasdaq and is working to demonstrate compliance with listing standards, including minimum bid price and market value requirements.

Trading on the OTC Pink market began on a split-adjusted basis at market open on October 20, 2026. The common stock will trade under the temporary symbol "NGTFD" for 20 trading days following the effective date, after which it will change to "NGTF." The new CUSIP for the common stock is 65412F200.

The company’s transfer agent, ClearTrust, LLC, served as the exchange agent for the transaction. Stockholders holding shares in brokerage accounts or "street name" were not required to take any action.
