New America Acquisition I Corp. (NWAX) filed a Form 8-K on October 15, 2026, reporting the termination of its previous administrative services agreement and the execution of a new one.
The Company terminated its Administrative Services Agreement with New America Sponsor I LLC, which was originally dated December 3, 2025. The termination was formalized via a Termination and Release Agreement executed on the same day, October 15, 2026.
In place of the previous agreement, the Company entered into a new Administrative Services Agreement with Dominari Holdings Inc. Dominari is identified as an affiliate of certain officers and directors of the Company.
Under the new terms, Dominari agreed to provide the Company with office space and administrative services as reasonably required. The agreement stipulates a monthly fee of $20,000. The contract remains in effect until the earlier of the consummation of the Company’s initial business combination or the Company’s liquidation.
