According to a press release issued on September 2, 2026, the NYSE notified the company on September 1, 2026, that it had met the requirements of Section 802.01C of the NYSE Listed Company Manual.

The compliance determination was based on Nerdy’s closing share price on August 31, 2026, and a calculation of the company’s average closing share price over the 30 trading days ending on that date. The NYSE confirmed that this average closing price was above the exchange’s $1.00 minimum requirement.

As a result of this notification, Nerdy’s Class A Common Stock will continue to be listed and trade on the NYSE, subject to the company’s ongoing compliance with other continued listing standards.
