Nephros, Inc. has announced the date for its 2026 Annual Meeting of Stockholders. The meeting is scheduled to take place on Wednesday, November 25, 2026, at 11:00 a.m., Eastern Time. The event will be conducted virtually via a live webcast. The specific agenda and instructions for attending the meeting will be detailed in the Company's definitive proxy statement, which will be sent to stockholders entitled to vote.
The Board of Directors has established September 30, 2026, as the record date for determining which stockholders are entitled to notice of and to vote at the meeting. The Company noted that the date of the 2026 Annual Meeting is more than 30 days after the anniversary of the 2025 Annual Meeting, which was held on June 16, 2025.
Due to this change in timing, the deadlines for stockholder proposals and director nominations outlined in the 2025 proxy statement no longer apply. Under Exchange Act Rule 14a-8, stockholder proposals intended to be included in the 2026 proxy materials must be received by the Company no later than the close of business on October 23, 2026. Proposals must be submitted to the Company's principal executive offices at 380 Lackawanna Place, South Orange, New Jersey 07079, Attention: Chief Executive Officer.
Additionally, to comply with universal proxy rules, stockholders intending to solicit proxies for director nominees other than the Company's nominees must provide written notice by October 23, 2026. The Company stated that any adjournment or postponement of the meeting will not extend these deadlines.
