Nauticus Robotics, Inc. announced on September 9, 2026, that it has received a formal notice from an institutional investor regarding the extension of the maturity date on a portion of its outstanding convertible debentures.
The notice was received from ATW Special Situations II, LLC, concerning Original Issue Discount Senior Secured Convertible Debentures issued pursuant to a securities purchase agreement dated November 4, 2024. As of the date of the notice, the aggregate outstanding principal amount of these debentures is $3,985,000.
In accordance with the terms of the debt instruments, the holder exercised its contractual right to extend the maturity date by one year. The maturity date for these specific debentures has been extended from September 9, 2026, to September 9, 2027.
The company confirmed that the extensions became effective upon delivery of the notice. The extension applies to the entire outstanding principal amount of the debentures, as well as any accrued or subsequently accruing interest, liquidated damages, and other amounts owed under the terms of the debt.
The company noted that the extension does not require the payment of any amendment fees, consent fees, or additional consideration. The existing guaranties, liens, security interests, and priority arrangements remain in effect, and the debentures continue to be convertible and enforceable through the new maturity date, unless earlier converted, redeemed, or otherwise paid in accordance with their terms.
