Nauticus Robotics, Inc. has announced a 1-for-6 reverse stock split of its common stock, which will become effective at 8:01 p.m. Eastern Time on September 24, 2026. The company filed a certificate of amendment to its Second Amended and Restated Certificate of Incorporation with the Secretary of State of Delaware to effect this change.

The reverse split consolidates every six shares of outstanding common stock into one share. As a result, the number of outstanding shares will be reduced, and the per-share price is expected to increase proportionally. The company stated that the primary objective of the split is to increase the share price to meet the minimum bid price requirements of the Nasdaq Capital Market.

Trading of the company's common stock, ticker symbol KITT, will be halted on Nasdaq at approximately 7:50 p.m. ET on September 24. Trading is expected to resume on a split-adjusted basis at the market open on September 25, 2026. The company was assigned a new CUSIP number, 63911H 504, in connection with the transaction.

Shareholders will not need to take any action if they hold their shares electronically in book-entry form. Fractional shares resulting from the split will be rounded up to the nearest whole share. The split will not alter the percentage ownership interest of shareholders, though minor adjustments may result from the rounding of fractional shares.

The reverse split was approved by the Board of Directors and stockholders at the annual meeting held on May 27, 2026. The company noted that all options, warrants, and other convertible securities outstanding prior to the split will be adjusted accordingly.
