OSR Health, Inc. has received a formal denial from the Nasdaq Hearings Panel regarding its request to remain listed on the Nasdaq Stock Market. The Panel determined on October 23, 2026, that the company must delist its securities due to a failure to maintain a minimum bid price of $1.00 per share, as required by Nasdaq Listing Rule 5550(a)(2).

Trading for the company’s common stock and warrants was previously suspended on August 26, 2026. Following the suspension, the securities began trading on the over-the-counter market under the symbols “OSRH” and “OSRHW.” The delisting decision does not impact the company’s status as an SEC-reporting entity.

In response to the decision, OSR Health stated that it will not pursue a reverse stock split. The company indicated that it prefers to regain compliance through organic business value creation rather than altering its share count. Management is currently evaluating a range of strategic and corporate alternatives to return to a national securities exchange.

The company intends to provide a further update on its plan to regain compliance by November 6, 2026. In the interim, the company noted that a $15 million equity put option mechanism under its Global Exclusive License Agreement for VXM01 remains active. Additionally, the company affirmed its commitment to its Shareholder Loyalty CVR Program, stating it intends to seek to continue the program for enrolled holders.
