Myriad Genetics, Inc. has entered into a definitive agreement to sell its prenatal health testing business to Laboratory Corporation of America (Labcorp). The transaction, announced on October 19, 2026, and detailed in an -K filing, involves the sale of specific laboratory developed tests and related assets.

Under the terms of the Asset Purchase Agreement, Myriad will transfer its prenatal health business to Labcorp. The assets included in the sale are the Foresight Carrier Screen, Prequel Prenatal Screen, FirstGene 4-in-1 Prenatal Screen, and the SneakPeek Early Gender Test. In exchange, Labcorp will pay $210 million in cash, plus the value of the business's inventory at the time of closing.

The deal is subject to customary closing conditions, including the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and the receipt of required approvals under applicable state healthcare laws. The transaction is expected to close by early 2027.

Labcorp expects the acquisition to add approximately $160 million in revenue in the first year following the close. The company anticipates the transaction will be slightly accretive to adjusted earnings in year one and reach average diagnostics segment margins by the end of year two.

Myriad Genetics plans to discuss this transaction and related organizational changes during its third quarter earnings call on November 4, 2026. Guggenheim Securities, LLC is serving as the exclusive financial advisor to Myriad, while Barclays is acting as the financial advisor to Labcorp.
