Moleculin Biotech, Inc. (MBRX) held its 2026 Annual Meeting of Stockholders on October 9, 2026. During the meeting, stockholders approved an amendment to the Company's 2024 Equity Plan, which increases the number of shares of common stock authorized for issuance under the plan by 3,861,894 shares. As amended, the total number of shares available for issuance under the 2024 Plan is 3,875,999 shares.
The meeting also addressed several corporate governance proposals. Stockholders ratified the appointment of Grant Thornton, LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2026. Additionally, stockholders approved a non-binding advisory resolution regarding executive compensation.
Stockholders also voted on amendments to the Company’s Amended and Restated Certificate of Incorporation. While an amendment to eliminate supermajority voting requirements was not approved, an amendment granting the Board of Directors authority to effect a reverse stock split of the outstanding common stock was approved. The proposed reverse stock split ratio is between 1-for-2 and 1-for-20, or any whole number in between, to be determined by the Board in its sole discretion prior to the one-year anniversary of the meeting.
Regarding director elections, stockholders elected Walter V. Klemp, Robert E. George, Michael D. Cannon, John Climaco, and Elizabeth A. Cermak to serve until the next Annual Meeting of Stockholders.
