Moleculin Biotech, Inc. has announced a 1-for-20 reverse stock split of its common stock, which will become effective at 12:01 a.m. Eastern Time on October 20, 2026. The filing reveals that the split was approved by stockholders at the company’s annual meeting on October 9, 2026, and subsequently authorized by the board of directors.

Under the terms of the amendment to the company’s certificate of incorporation, every 20 shares of outstanding common stock will be consolidated into one issued and outstanding share. The nominal par value per share will remain at $0.001. Following the split, the number of shares outstanding is expected to decrease from approximately 20.91 million to approximately 1.05 million shares, while the total number of authorized shares will remain at 500 million.

Trading on The Nasdaq Capital Market will resume on October 20, 2026, on a post-split basis. The company’s ticker symbol, MBRX, will remain unchanged, although the CUSIP number will be updated to 60855D507.

The filing includes a detailed table illustrating the impact of the split on the company’s financial performance. For the year ended December 31, 2025, the weighted average common shares outstanding decreased from 1,184,569 to 59,228. Similarly, for the three months ended March 31, 2026, the weighted average shares outstanding dropped from 4,124,482 to 206,224.

The company states that no fractional shares will be issued. Instead, stockholders will receive a cash payment equal to the fraction of a share multiplied by the average closing sales price during the five trading days prior to the split. Proportionate adjustments will also be made to the exercise price and number of shares issuable upon the vesting of outstanding stock options, restricted stock units, and warrants.

In a press release accompanying the filing, Moleculin noted that it will require significant additional financing to conduct its clinical trials and that the milestones described assume the company’s ability to secure such funding on a timely basis.
