Apimeds Pharmaceuticals US, Inc. (NYSE American: APUS) announced on September 24, 2026, that its wholly owned subsidiary, MindWave Innovations Inc., has entered into a 12-month strategic technology services agreement with Singapore-based AQUAE Holdings Pte. Ltd. Under the agreement, MindWave will deploy its MindChain blockchain infrastructure to power AQUAEChain, a platform designed for the issuance, verification, transfer, and retirement of ALCI Credits. These credits represent fractionalized environmental conservation assets, such as biodiversity, clean water, and oxygen generation.

The agreement, which became effective on September 14, 2026, includes consideration consisting of contracted software development and technology service fees. Additionally, MindWave is entitled to an allocation equal to 20% of the total ALCI Credits issued and outstanding on the AQUAEChain network. This allocation will be calculated at the end of each quarter using the MindChain issuance ledger. The engagement is expected to deliver a cloud-based infrastructure featuring a digital registry, monitoring and reporting tools, and a marketplace module for trading credits.

Separately, on September 29, 2026, MindWave announced a 12-month Software Development and Technology Services Agreement with Flash Sports & Media Holdings, Inc. (FLZH). Under this deal, MindWave will deploy and operate a dedicated subnet on MindChain’s Layer-2 infrastructure for FlashChain, a blockchain focused on tracking digital broadcasting rights, video assets, and match ticket inventory. Consideration for this agreement consists of FLZH common shares and an allocation of FLASH TOKEN.

Both agreements are attached as Exhibits 99.1 and 99.2 to the Form 8-K filing. The Company notes that the agreements are subject to risks and uncertainties, including development timelines, technical performance, and regulatory requirements applicable to digital assets.
