Regarding the election of directors, stockholders voted to re-elect five individuals to the Board of Directors for terms expiring at the 2027 Annual Meeting. The nominees were Kenneth L. Clayton, Thomas R. Craddick, Thomas H. Decker, Christopher M. Schroeder, and Nicholas C. Taylor. According to the official results, all nominees received a majority of votes cast, with Kenneth L. Clayton receiving 1,600,857 votes for and 15,351 votes withheld.
In other business, stockholders ratified the selection of Weaver and Tidwell, L.L.P. as the company's independent registered public accounting firm for the fiscal year ending March 31, 2027. Additionally, the stockholders approved the Mexco Energy Corporation Amended and Restated 2019 Employee Incentive Stock Plan. The proposal received 1,538,624 votes in favor, 67,868 votes against, and 9,716 abstentions.
Separately, the Company disclosed that its Compensation Committee has approved two forms of Award Agreements to be utilized for future stock option grants under the newly approved plan.
