Medicus Pharma Ltd. has executed a 1-for-50 share consolidation of its issued and outstanding common shares, effective October 12, 2026. The consolidation was effected through the filing of Articles of Amendment with the Ontario Ministry of Public and Business Service Delivery.
The Board of Directors unanimously approved the consolidation ratio of 1-for-50 on September 24, 2026, following shareholder approval at the Annual General and Special Meeting held on June 3, 2026. Shareholders had originally approved the consolidation for a maximum ratio of up to 1-for-50, with the specific timing and ratio determined by the Board.
As a result of the consolidation, every 50 Common Shares issued and outstanding were automatically consolidated into one new Common Share. The Company’s Common Shares began trading on a post-consolidation basis on The Nasdaq Capital Market on October 12, 2026.
Proportionate adjustments were made to the exercise or conversion prices and the number of Common Shares underlying the Company's outstanding equity awards, convertible securities, and warrants. Additionally, adjustments were made to the number of Common Shares issuable under the Company's equity incentive plans. No fractional shares were issued in connection with the consolidation; any resulting fractional shares were rounded down to the nearest whole Common Share, with cash paid in lieu of the fractional amount.
The consolidation did not modify any rights or preferences of the Common Shares, and the newly issued shares remain fully paid and non-assessable.
