Matthews International Corporation (NASDAQ: MATW) announced on October 1, 2026, that two long-tenured directors, Katherine E. Dietze and Morgan K. O’Brien, will not stand for re-election at the Company’s 2027 Annual Meeting of Shareholders. The announcement was made in connection with the Board’s ongoing governance initiative to reduce its size from ten to eight members, effective immediately following the 2027 Meeting.

The departure of the directors is described as a reflection of their support for the Company’s strategic direction and the leadership transition currently underway. The Board cited the ongoing simplification of operations and business portfolio, as well as cost-reduction initiatives, as the reasons for the structural change.

The Board’s refreshment efforts have been active since 2023, during which five new directors were appointed to target specific skill sets. The Company has also executed a series of strategic divestitures beginning in 2024, including the SGK Brand Solutions into the Propelis joint venture in May 2025, the European packaging business in December 2025, and the warehouse automation business in December 2025.

In other leadership news, Michael J. Whitehead was appointed President and Chief Executive Officer on August 31, 2026, succeeding Joseph C. Bartolacci. J. Michael Nauman was appointed Chairman of the Board effective at the 2026 annual shareholders meeting. The Company also initiated a restructuring of its engineering operations in Europe in Fiscal Year 2026, which is expected to generate projected annual cost savings of approximately $10 million beginning in Fiscal Year 2027.
