Matinas BioPharma Holdings, Inc. has filed a Certificate of Amendment with the Secretary of State of Delaware to implement a one-for-fifteen reverse stock split of its common stock. The transaction became effective at 12:01 a.m. Eastern Time on September 28, 2026.
Under the terms of the split, every 15 shares of the company's common stock were converted into one share of common stock. The par value of the common stock and the authorized number of shares of common stock remained unchanged. As a result of the split, the CUSIP number for the common stock changed to 576810 402.
Matinas anticipates that its common stock will begin trading on the NYSE American on a reverse stock split-adjusted basis when the market opens on September 28, 2026. The reverse split affected all stockholders uniformly and did not alter any stockholder’s percentage interest in the company’s equity, except in cases involving fractional shares. No fractional shares were issued; instead, stockholders entitled to a fractional share received a proportional cash payment.
All outstanding securities that entitle holders to purchase or acquire shares of common stock, including stock options, warrants, and convertible preferred stock, were adjusted accordingly. The company’s board of directors approved the filing of the Certificate of Amendment on September 16, 2026, and stockholders approved the amendment at the annual meeting held on June 23, 2025.
