Launch Two Acquisition Corp., a Cayman Islands exempted company, announced on October 8, 2026, that it has extended the deadline for completing a business combination. The company held an extraordinary general meeting (EGM) to approve amendments to its governing documents.

Under the company's original terms, the deadline to complete a merger was October 9, 2026. At the EGM, shareholders approved an amendment to the company's articles of association. This amendment, known as the Extension Amendment, extends the Combination Period on a monthly basis for up to six times. The new deadline is April 9, 2027, or an earlier date determined by the board of directors.

The extension was approved by shareholders voting on the Extension Amendment Proposal. The vote tally was 21,221,691 shares in favor, 2,558,191 against, and 0 abstentions. The company also ratified the selection of WithumSmith+Brown, PC as its independent registered public accounting firm for the year ending December 31, 2026. This proposal passed with 23,647,778 votes in favor and 2,558,145 against.

During the meeting, holders of 18,322,071 Class A ordinary shares exercised their right to redeem their shares for cash. The redemption price was approximately $10.84 per share, resulting in an aggregate redemption amount of approximately $198.6 million. Following these redemptions, there are 4,677,929 Public Shares currently issued and outstanding.

In connection with the extension, the company entered into Non-Redemption Agreements with several investors. These investors agreed not to redeem their shares and to vote in favor of the Extension Amendment for an aggregate of 4,481,851 shares. In exchange, Launch Two Sponsor LLC agreed to transfer 256,061 Class A ordinary shares to these investors upon the closing of the initial business combination.

The Extension Amendment became effective upon approval by a majority of at least two-thirds of the votes cast by holders of Class A and Class B ordinary shares. The company filed a notice of the special resolution amending its articles with the Cayman Islands Registrar of Companies on October 8, 2026.
