LandBridge Company LLC announced on September 22, 2026, that its subsidiary, DBR Land Holdings LLC, has priced an offering of $125 million in aggregate principal amount of senior notes due 2030. The notes carry a coupon rate of 6.250% and were priced at 99.375% of par value.
The offering was upsized from the previously announced size of $100 million. The notes are being issued as additional debt under an indenture dated November 25, 2025, which governs the previously issued $500 million in senior notes due 2030. The new notes will have identical terms to the existing notes, aside from the issue date and price.
DBR Land Holdings intends to use the net proceeds from this transaction to repay a portion of outstanding borrowings under its revolving credit facility. The offering is expected to close on October 1, 2026, subject to customary closing conditions.
The notes have not been registered under the Securities Act of 1933 and are being offered only to qualified institutional buyers in the United States pursuant to Rule 144A and to non-U.S. persons pursuant to Regulation S.
