L.B. Foster Company has completed the acquisition of Dulworth Enterprises, Inc., a privately held business based in Rice, Texas. The transaction was finalized on October 28, 2026, through L.B. Foster’s wholly-owned subsidiary, CXT Incorporated.

Under the terms of the definitive Asset Purchase Agreement, CXT acquired substantially all of Dulworth’s operating assets. The purchase price is set at $52,180,000, to be paid in cash. The acquisition was funded entirely with cash on hand and available funds from the company’s existing revolving credit facility.

Dulworth specializes in residential wastewater precast products and Aeris aerobic treatment systems. The company is expected to generate approximately $18 million in annual revenue. Following the completion of integration activities, which are estimated to take 12 to 18 months, Dulworth is projected to contribute between $6.5 million and $7.5 million in estimated EBITDA.

The acquired business will be integrated into L.B. Foster’s Precast Concrete Products business unit within its Infrastructure Solutions segment. L.B. Foster is a global solutions provider for the rail and infrastructure markets, founded in 1902.
