Kulicke & Soffa Industries, Inc. has amended and restated its Incentive Compensation Plan, effective for the company's 2027 fiscal year. The amendment was approved by the Management Development and Compensation Committee on October 13, 2026.
The primary change involves the corporate performance measures used to determine awards. The company has replaced the prior measures of Net Income and Operating Margin—each weighted at 50%—with Operating Profit and Gross Margin, which will also be weighted at 50% each.
The updated plan introduces an individual goal component for members of the Executive Leadership Team (ELT). Previously, ELT awards were determined solely by corporate performance. Under the new structure, ELT awards for fiscal 2027 will be calculated with 85% of the value based on corporate financial performance and 15% based on individual goals aligned with strategic objectives.
The Plan also provides flexibility for business unit scorecards. These can be tailored based on each unit's growth phase, strategic priorities, and business circumstances, provided they adhere to the company's scorecard governance process.
