Kochav Defense Acquisition Corp. has announced a cash contribution from its sponsor to the company's trust account in connection with a proposed extension of the deadline to complete an initial business combination. The company also confirmed the date for a shareholder vote on the extension proposal.

The extraordinary general meeting (EGM) is scheduled for November 13, 2026, at 10:00 a.m. Eastern time. Shareholders of record as of the close of business on October 13, 2026, are entitled to vote at this meeting.

The proposed extension was detailed in a definitive proxy statement filed with the SEC on October 19, 2026. The company noted that the original proxy statement did not provide for a contribution by the Sponsor to the trust account. Under the updated terms, if shareholders approve the extension, the Sponsor or its designees will deposit $0.06 for each public share not redeemed in connection with the EGM for the first three months following approval. This initial contribution is capped at $300,000 in the aggregate. Subsequently, the Sponsor will deposit $0.02 for each such share for each month thereafter, with a monthly cap of $100,000.

In addition to the trust account contributions, the Sponsor intends to convert 8,433,332 Class B ordinary shares into an equal number of Class A ordinary shares upon the approval of the extension. These newly issued Class A shares will be subject to the same transfer restrictions, waiver of redemption rights, and voting obligations that applied to the Class B shares prior to the conversion.
