KinderCare Learning Companies, Inc. has announced changes to its Board of Directors, effective September 29, 2026. Michael Nuzzo has resigned from the Board, citing other personal and professional time commitments. Mr. Nuzzo served as a Class II director and resigned from the Audit Committee and the Compensation Committee.
In response to Mr. Nuzzo’s resignation, the Board appointed David Barse to serve as a member of the Audit Committee and the Compensation Committee. Mr. Barse has also been appointed as the chair of the Audit Committee. The Board has affirmed that Mr. Barse is an independent director under New York Stock Exchange standards and qualifies as an audit committee financial expert.
The Board also appointed Preston Grasty to fill the vacancy on the Board. Mr. Grasty will serve as a Class II director until the 2029 annual meeting of stockholders or until his earlier death, resignation, or removal. He will also serve on the Nominating and Corporate Governance Committee. Mr. Grasty, age 36, is a Senior Investment Leader at Partners Group and previously served on the Board from September 2024 to June 2025. He holds a B.B.A., a Masters in Professional Accounting from the University of Texas McCombs School of Business, and an M.B.A. from The University of Chicago Booth School of Business.
Mr. Grasty was selected as a director by the PG Stockholders under a Stockholders Agreement dated October 8, 2024. As he is affiliated with Partners Group, he will not receive compensation under the Company’s director compensation policy. The Board determined that Mr. Grasty is independent under the listing standards of the New York Stock Exchange and that there are no family relationships between him and any director or executive officer of the Company.
