Keros Therapeutics, Inc. announced on September 29, 2026, that it expects to receive a $20 million development milestone payment from partner Takeda Pharmaceuticals U.S.A., Inc. The payment is triggered by the dosing of the first patient in the ELRiSE MF clinical trial.
The ELRiSE MF trial is a Phase 3, multicenter, double-blind, randomized study designed to compare the efficacy and safety of elritercept against placebo in patients with myelofibrosis who are currently being treated with ruxolitinib.
This milestone falls under the terms of a global license agreement between the two companies, which became effective on January 16, 2025. Under that agreement, Keros received a $200 million upfront cash payment in February 2025. The company is eligible to receive additional development, commercial, and sales milestones with a potential total value exceeding $1.1 billion, as well as tiered royalties on net sales.
Keros stated that it expects to distribute 25% of the net cash proceeds from this specific milestone payment to its stockholders upon receipt.
