On September 28, 2026, Kennedy Lewis Capital Company entered into a Third Amendment to its First Amended and Restated Credit Agreement (the “Third Amendment”). The agreement was executed by KLCC SPV GS1 LLC, a wholly-owned subsidiary of the Company, and various financial institutions including Goldman Sachs Bank USA, U.S. Bank Trust Company, National Association, and U.S. Bank National Association.
The Third Amendment modifies the Secured Credit Facility, which was originally dated October 11, 2024. The key changes disclosed in the filing include:
- Financing Limit: The maximum borrowing capacity under the facility was increased from $500,000,000 to $550,000,000.
- Reinvestment Period: The date by which the Company must reinvest capital was extended from May 1, 2028, to September 28, 2029.
