On October 12, 2026, Jackson Financial Inc. (NYSE: JXN) announced the election of Donald C. Templin to its Board of Directors. The appointment was made to fill a vacancy created by the resignation of Gregory Durant earlier in the year.
Templin’s term is set to conclude at the Company’s 2027 Annual Meeting of Shareholders. In addition to his general board duties, he has been appointed to serve on the Board’s Audit Committee and Compensation Committee. The Company stated that Templin qualifies as an audit committee financial expert under applicable SEC rules and meets the independence standards required by the New York Stock Exchange.
Templin brings extensive experience in financial leadership and auditing. His background includes serving as Executive Vice President and Chief Financial Officer of Voya Financial. Prior to Voya, he held senior leadership roles at Marathon Petroleum Corporation, including Executive Vice President and Chief Financial Officer. His career began with a 26-year tenure at PricewaterhouseCoopers LLP, where he eventually served as Managing Partner of the Audit Practice in Georgia, Alabama, and Tennessee.
In the past 13 years, Templin has served as an independent director on three public company boards, serving as an audit committee member for two of them. He holds a Bachelor of Arts in Accounting from Grove City College.
Templin will receive compensation as a non-employee director in accordance with Jackson Financial’s standard program. This includes an annual cash retainer of $125,000, an annual equity grant valued at $185,000, and additional cash compensation for committee chair service if applicable. The compensation will be prorated for any partial year of service.
The Company and Templin entered into an indemnification agreement dated and effective October 12, 2026, which provides him with contractual rights to indemnification and expenses. The filing confirms there are no related person transactions reportable under Item 5.02 of Form 8-K.
