IPG Photonics Corporation has entered into a definitive agreement to acquire 100% of the outstanding shares of Lumibird Medical, a French company. The transaction was formalized on September 8, 2026, following the exercise of a put option by the seller, Lumibird S.A., a société anonyme listed on Euronext Paris.
Under the terms of the Share Purchase Agreement, IPG will acquire Lumibird Medical for a purchase price of €300 million. This amount is set on a cash-free, debt-free basis and is payable in cash at closing, subject to customary adjustments. Additionally, the agreement includes contingent earn-out consideration of up to €50 million in additional cash, contingent upon the achievement of specific performance metrics in 2026 and 2027.
The company intends to fund the acquisition using cash on hand. The transaction is subject to customary closing conditions and regulatory approvals, including authorization by the French Minister of the Economy under the French foreign direct investment regime and a waiver from the French securities regulator (AMF) regarding a mandatory buyout offer. The closing of the acquisition is expected to occur in the fourth quarter of 2026.
