Inuvo, Inc. has entered into a new financial agreement with Streeterville Capital, LLC, as detailed in a Current Report on Form 8-K filed on October 27, 2026. The company completed the exchange of $1.2 million in principal from its Secured Promissory Note B for a new Secured Promissory Note A-2, issued in the principal amount of $1,308,000.
The new A-2 Note is secured by funds held at Lakeside Bank, owned by Inuvo’s wholly-owned subsidiary, INUV Holdings, LLC. The principal amount is due on June 29, 2028. Interest on the note accrues at an annual rate of 9.00%, calculated on a 360-day year with daily compounding.
The terms of the note allow for full or partial prepayment at any time without penalty. The lender, Streeterville Capital, has the option to redeem portions of the note under specific conditions. Beginning on March 29, 2027, the lender may redeem up to $750,000 per calendar month. Additionally, beginning December 29, 2026, the lender may redeem amounts based on the company’s common share trading volume if the shares trade at least 10% above the NYSE Minimum Price.
The agreement includes provisions regarding "Major Trigger Events" and "Minor Trigger Events." If the company fails to cure these events following a written demand notice, the outstanding balance may increase by 10% for each Major Trigger Event and 5% for each Minor Trigger Event. Failure to cure these events will also constitute an Event of Default, allowing the lender to accelerate the outstanding balance and apply a default interest rate of up to 15% per annum.
