Intelligent Protection Management Corp. (IPM) announced on October 22, 2026, that it has entered into a definitive agreement to acquire the business of Advanced Technology Distributors Inc. (AdTech). The transaction is valued at an aggregate purchase price of up to $2.7 million, subject to customary adjustments.

Under the terms of the agreement, IPM will acquire the operating assets of AdTech through a newly formed subsidiary, AdTech IT LLC (JVCo). The acquisition will be executed in two stages. At the initial closing, IPM will acquire 49% of JVCo’s membership interests for $750,000 in cash, subject to working capital adjustments. The remaining 51% will be acquired at a subsequent closing for $1.25 million in cash, a $600,000 promissory note, and potential stock consideration.

In addition to the cash payments, the deal includes a performance-based earnout of up to $100,000. This payment is contingent on AdTech’s revenue performance for the 2027 fiscal year relative to a 2026 baseline. The closing of the initial transaction is contingent upon approval from the California Public Utilities Commission (CPUC) regarding the transfer of AdTech’s competitive local exchange carrier license. The final closing requires CPUC approval of a change-of-control filing for the same license. IPM did not pay any consideration at the signing of the agreement.

AdTech provides IT services, telecommunications, and managed solutions to small and medium-sized businesses in California. Following the final closing, JVCo will become a wholly owned subsidiary of IPM. The company stated that the acquisition aims to expand its managed services platform and customer base.
