Integrated Wellness Acquisition Corp (IWAC) has filed a Current Report on Form 8-K indicating that its shareholders approved amendments to the company's charter during an extraordinary general meeting held on September 15, 2026. The meeting addressed proposals to extend the deadline for the company to complete an initial business combination and to allow for an earlier wind-up of operations.

The first proposal, the Extension Amendment Proposal, was approved by a vote of 2,875,061 shares. This amendment extends the deadline for the initial business combination from September 16, 2026, to March 16, 2027. The Board retains the discretion to elect to wind up the company's operations on an earlier date than March 16, 2027, including prior to September 16, 2026, which was also approved by shareholders.

In connection with the meeting, shareholders holding 24,908 Class A ordinary shares exercised their right to redeem their shares for a pro rata portion of the funds held in the Trust Account. The company estimates the redemption amount to be approximately $13.19 per share, which would result in approximately $330,414 being removed from the Trust Account. The final per share redemption amount is currently being calculated and will be disclosed in an amended Current Report on Form 8-K if it differs materially from the estimate.
