Innventure, Inc. (NASDAQ: INV) announced on November 2, 2026, that its Board of Directors has formed a Strategic Review Committee comprised of disinterested directors. The committee is charged with overseeing a range of strategic matters, with a primary focus on evaluating capital strategies and other priorities aimed at creating shareholder value. The Board and management team are working with independent financial advisors to conduct this review, which is intended to enhance the Company's financial position without a set timetable for completion.

The Company reported significant progress in its cost reduction initiatives, reducing its headcount from 40 employees at the end of the first quarter of 2026 to 15 employees. This reduction resulted in a decrease in payroll costs of approximately 57%, excluding severance costs. Innventure is also actively exploring additional cost-cutting measures to address liquidity needs at the parent-company level.

Regarding capital management, Innventure noted that the majority of its consolidated cash is attributable to its operating company, Accelsius. To address near-term liquidity requirements, the Company established an at-the-market (ATM) equity offering program on October 6, 2026. This program serves as an alternative to the $75 million Standby Equity Purchase Agreement entered into in 2023. The Company stated it does not intend to use the ATM to raise capital for Accelsius at current share prices or to raise the full $60 million available under the program.

Innventure continues to support independent fundraising efforts at its operating companies. Accelsius has engaged Evercore Group L.L.C. as its financial advisor to evaluate private capital formation needs. The Company also indicated it intends to conclude funding for AeroFlexx within the next month and Refinity by the end of the year, while pursuing strategic alternatives for both, including potential sales and interim third-party financings.

The Company has recently strengthened its governance and leadership, reducing the Board size from nine to seven directors, six of whom are independent. New leadership appointments include Dr. Bill Grieco, who assumed the role of Chief Executive Officer on September 1, 2026, and Eric Stober, who joined as Chief Financial Officer on October 19, 2026.
