Inmune Bio, Inc. (NASDAQ: INMB) announced on September 8, 2026, that its Board of Directors approved an increase in the number of directors, setting the total to seven. The company appointed R. Duane Clark II and James Sapirstein to serve as directors until the next annual election.
R. Duane Clark II, age 63, currently serves as the General Manager, U.S. Rare Diseases at Sanofi, where he leads a multi-billion-dollar business spanning seven rare-disease brands. Mr. Clark brings over 40 years of experience in global pharmaceutical and biotechnology leadership, with a focus on rare diseases, immunology, and specialty-product commercialization. His background includes leading Sanofi’s U.K. and Ireland multiple sclerosis business and roles at Astellas Pharma, Ortho Biotech, and Marion Laboratories.
James Sapirstein, age 65, brings more than 40 years of biopharmaceutical leadership spanning business development, licensing, commercialization, and capital formation. He is currently the Chief Executive Officer of Cocrystal Pharma, Inc. (Nasdaq: COCP) and the Chief Executive Officer and Chairman of 8 Prime Biosciences. Previously, he served as CEO and Chairman of Entero Therapeutics, Inc. (Nasdaq: ENTO), which later changed its name to GridAI Technologies Corp. (Nasdaq: GRDX). Mr. Sapirstein also serves as the Executive Chairman of Onconetix, Inc. (Nasdaq: ONCO) and a director of ZyVersa Therapeutics, Inc.
Both directors were appointed to the Nominating and Corporate Governance Committee. The company stated that both Mr. Clark and Mr. Sapirstein are independent directors within the meaning of Nasdaq Listing Rule 5605. The Board determined that Mr. Clark qualifies due to his rare-disease and immunology expertise, while Mr. Sapirstein qualifies due to his experience in business development, licensing, and public-company operations.
In consideration for their service, Mr. Clark and Mr. Sapirstein will each receive an option to purchase 100,000 shares of common stock under the company’s 2021 Stock Incentive Plan. This grant will vest in 36 equal monthly installments over three years. Additionally, they will each receive an annual cash retainer of $50,000, payable quarterly, and reimbursement for reasonable out-of-pocket expenses. The company will enter into standard indemnification agreements with the new directors.
The company noted that these appointments are intended to strengthen its capabilities in rare-disease commercialization and strategic partnering as it advances its late-stage product platforms, including Ebstrocel, toward potential commercialization.
