Inflection Point Acquisition Corp. VI (IPFX) has amended its previously announced business combination agreement with Quantum Space, LLC. The filing, dated October 22, 2026, indicates that the parties intend to list the combined company’s Class A-1 Common Stock and warrants on the New York Stock Exchange (NYSE) instead of the Nasdaq Stock Market.

The amendment also modifies the composition of the combined company’s board of directors. Previously, the agreement required a fixed seven-director composition. The new terms replace this with a variable number of individuals appointed in accordance with NYSE rules. This number is to be determined by Quantum Space with the approval of Inflection Point, subject to a limitation that the approval cannot be unreasonably withheld, delayed, or conditioned.

The amendment makes conforming changes to the original Business Combination Agreement. These changes include updates to the listing covenant, the NYSE listing condition required for closing, and the director independence requirement. Additionally, the filing notes that Annex 3.03(a) (Capitalization Table) of the Company Disclosure Letter has been replaced in its entirety.

The business combination remains subject to the approval of Inflection Point shareholders. The registrant has stated that a Registration Statement on Form S-4, which includes a proxy statement and prospectus, has been filed with the SEC and is awaiting effectiveness.
