Indivior Pharmaceuticals, Inc. has announced the acceleration of the termination of a material definitive agreement with Reckitt Benckiser Healthcare (UK) Limited. According to a Current Report on Form 8-K filed with the SEC on September 15, 2026, Indivior UK Limited and RB entered into a Deed of Variation and Termination on September 9, 2026.
The agreement in question is the Copacker Supply Agreement dated December 23, 2014, which was previously amended on March 29, 2019. Under the terms of the new deed, the termination date for this supply agreement has been accelerated to January 15, 2027. Reckitt Benckiser has historically manufactured SUBOXONE Tablets and SUBUTEX Tablets for Indivior under the terms of the original contract.
Indivior has identified a new supplier for its manufacturing needs. The company noted that its obligations under the agreement with this new supplier will not become enforceable until the manufacturing process is validated. Indivior stated that this new supplier arrangement is not expected to be material to the company.
The Deed of Variation and Termination includes specific financial terms. Reckitt Benckiser has agreed to manufacture additional units prior to the new termination date. In exchange, Indivior has agreed to pay RB certain costs. These costs include charges for ordering lower volumes than originally contemplated, asset disposal and depreciation recovery costs, redundancy costs, incentive costs, and potential third-party costs. Indivior characterized the aggregate amount of these costs as fixed or capped and not material to the Registrant.
