Independence Realty Trust, Inc. (IRT) has amended its previously announced agreement to acquire Centerspace (CSR). According to a Form 8-K filed on September 22, 2026, the parties have agreed to modify the structure of the Company Merger portion of the deal.

The original agreement, signed on September 8, 2026, outlined a two-step merger process. Under the initial terms, a wholly owned subsidiary of IRT would merge with and into Centerspace, with Centerspace surviving as a subsidiary of IRT. Following this, IRT's operating partnership would merge with Centerspace's operating partnership.

The amendment modifies the first step. IRT has elected to implement an alternative structure where Centerspace will merge with and into IRT's newly added subsidiary, IRT Merger Sub, with IRT Merger Sub surviving the transaction. The amendment also includes a waiver of any representation inaccuracies caused solely by this structural change.

The transaction remains subject to the approval of shareholders from both IRT and Centerspace. Investors are advised to read the registration statement on Form S-4, which will include the definitive joint proxy statement and prospectus, for further details regarding the proposed merger.
